Mahindra Makes Strategic Move: Acquires 58.96% Stake in SML Isuzu for ₹555 Crore

On Saturday, Mahindra & Mahindra (M&M) unveiled an ambitious plan to acquire a 58.96% stake in SML Isuzu for a remarkable ₹555 crore. This strategic move is designed to enhance M&M’s presence in the commercial vehicle market, a sector ripe for growth.

Strategic Acquisition Details

In this significant transaction, M&M will acquire 43.96% of shares from the promoter, Sumitomo Corporation, along with an additional 15% stake owned by Isuzu Motors Ltd, a public shareholder. Furthermore, M&M plans to initiate an open offer for an additional 26% stake, adhering to the Securities and Exchange Board of India (SEBI) takeover regulations.

Vision for Growth

M&M’s acquisition is closely aligned with its long-term growth objectives. Anish Shah, CEO and Managing Director of the Mahindra Group, emphasized that this acquisition represents a pivotal moment in their ambition to achieve fivefold growth in emerging business sectors. Shah noted, "This deal showcases our commitment to capital allocation in high-potential areas that are supported by operational excellence."

Enhancing Commercial Vehicle Portfolio

Rajesh Jejurikar, Executive Director and CEO of M&M’s Auto and Farm Sector, described the acquisition as a “crucial step” towards establishing M&M as a comprehensive player in the commercial vehicle landscape. He highlighted that SML Isuzu brings a dedicated customer base, a rich legacy, and a product lineup that complements M&M’s existing offerings. Jejurikar stated, "By consolidating platforms and sharing supplier networks, we can unlock significant synergies and enhance production efficiency."

Approval and Future Outlook

Founded in 1983, SML Isuzu has built a strong reputation in the Indian truck and bus markets over the years. The acquisition is pending approval from the Competition Commission of India (CCI), with expectations for completion by 2025. This strategic move not only aims to bolster M&M’s position in the commercial vehicle sector but also seeks to bridge the gap in market share compared to its competitors.
