Tata Motors Demerger: Key Details You Need to Know

In an exciting development, Tata Motors will undergo a demerger, dividing its operations into two separate entities: one dedicated to commercial vehicles and the other to passenger vehicles, which includes the prestigious Jaguar Land Rover (JLR) and its electric vehicle segment.

Upcoming Shareholders Meeting

Mark your calendars for May 6, 2025, at 3:00 PM IST, when the company will hold a virtual meeting for its shareholders. This is an essential opportunity for shareholders to vote on the Composite Scheme of Arrangement, which outlines the restructuring plan.

  • Voting Eligibility: Only shareholders listed in the company’s records by March 28, 2025, will be allowed to participate. If you acquire shares after this date, you won’t be eligible to vote on the demerger.

  • E-voting Window: Shareholders can cast their votes electronically from May 2, 9:00 AM until May 5, 5:00 PM. Voting will also be available during the meeting.

Share Entitlement Ratio: A Fair Division

Should the demerger receive approval, shareholders will benefit from a 1:1 share entitlement ratio. This means for every share of Tata Motors held, investors will receive one share in Tata Motors Commercial Vehicles (TMLCV), ensuring no dilution in their overall stake. This ratio has been supported by valuations from PwC and a fairness opinion from SBI Capital Markets.

Timeline for the Demerger

Tata Motors anticipates that the split will take effect by the third quarter of FY26, roughly between October and December 2025. The internal date marking the beginning of this demerger has been set as July 1, 2025.

With the impending demerger, Tata Motors will organize its operations into two distinct publicly traded companies:

  • Tata Motors Commercial Vehicles Limited (TMLCV): This entity will manage all operations related to commercial vehicles.

  • Tata Motors Limited (TML): This company will oversee the passenger vehicle segment, including electric vehicles, JLR, and related investments.

Current Stock Performance: A Market Overview

Tata Motors’ shares recently closed at Rs 615.10, reflecting a decline of nearly 6% as market sentiments wavered. The stock has faced challenges, dropping 9% over the last five trading sessions and 4% in the past month.

Looking back over a longer period, the company’s stock has seen a staggering 39% decline over the past year and is currently trading close to its 52-week low of Rs 606.30. With a market capitalization of Rs 2.26 lakh crore, Tata Motors has experienced a significant downturn compared to its 52-week high of Rs 1,179.
